SALES TERMS AND CONDITIONS

1 - FIELDS OF APPLICATION

These general sales terms and conditions apply to any order placed on the website www.centrufficiostore.it and derived pages (hereinafter "the Website") of Centrufficio s.p.a. (joint stock company with registered office in Milano, Via A. Doria 17, Partita IVA IT00902270966) for the purchase of goods. The confirmation of the order by the buyer implies unreserved acceptance of these general sales terms and conditions, which prevail over all previous or specific versions generated by the buyer, including the exchange of e-mail messages.

2 - ORDERS

2.1 PRODUCT OFFER

The Products are presented in accordance with legal requirements and as accurately as possible.

There may be differences between the products delivered and those displayed on the website, in particular for artisanal products - for which the homogeneity of production cannot be totally guaranteed - or for those that have been modified due to technical or technological evolutions. These differences, if they do not concern the essential characteristics of the Products and do not affect their quality, cannot justify a cancellation of the order nor a refusal of the delivery. Centrufficio s.p.a. cannot be held responsible for any inaccuracy of photographs showing the items sold on the Website: we cannot guarantee perfect representation of the Products on the Website and/or on the catalogs, due to differences in color reproduction of Internet browsing software or display monitors used by the customer.

2.2 ACCEPTANCE OF THE ORDER

For the buyer, the order closes at the time of confirmation, while Centrufficio s.p.a. has to wait for the payment validation and for the order to be taken charge of.

3 - PRICE / PAYMENT

3.1 PRODUCT PRICES

Prices are quoted in Euro and ex-tax.

3.2 DELIVERY COSTS

The delivery of the furniture can be made by a Centrufficio s.p.a. carrier or by a courier. The type of delivery will be specified during the order.

3.3 PAYMENT

Payment must be performed in one installment in EUR at the confirmation of the order. You can pay by credit card, Paypal, cash on delivery (approved in advance by Centrufficio s.p.a.) or bank transfer to:

The order will not be processed nor taken charge of until the buyer's bank transfer is received.

Since orders are taken charge of only after the payment has been confirmed, it will not be possible to apply discounts or penalties for delays.

4 - DELIVERY AND ASSEMBLY

4.1 DELIVERY METHODS

Once the order has been sent, the buyer will receive an e-mail with the information about the order and the estimated delivery date or the pick-up date at our warehouse, in case the customer has selected this delivery method.

Transport and assembly are always free of charge for orders over € 100 + VAT in Italy and in Canton Ticino.

For orders of less than € 100 + VAT, transport is € 9,90 + VAT (for Canton Ticino € 19,90 + VAT) and assembly € 9,90 + VAT.

In Switzerland (except for Canton Ticino), the transport by courier is free of charge for orders over € 100 + VAT, whereas assembly is not foreseen.

The assembly service is not available for Europe . The delivery fee is € 29/39/99 (depending on the country) for orders below € 500 + VAT, while it is free for orders over € 500 + VAT.

For countries outside Europe, the customer (or his courier) must pick up the goods at our warehouse in Italy, via Sondrio, 10, Pioltello (Milano).

If direct carriers/assemblers of Centrufficio s.p.a. will deliver the goods, the delivery office will schedule the date with the customer. If the ordered goods will be delivered by a courier, the delivery office will communicate the waybill/shipment number to the customer.

During the confirmation of the order, the buyer must communicate any obstacles to the delivery, for example if the destination is in a restricted traffic area, or if the delivery may be difficult because an elevator is not available.

If the carriers of Centrufficio  s.p.a. fail to deliver the products on the agreed date because the buyer isn't present or because no information on special delivery needs was provided, Centrufficio s.p.a. may charge extra delivery fees and/or cancel the order.

The risks of the Products are transferred to the buyer at the moment of delivery, or on the first day carriers from Centrufficio s.p.a. first show up (on the agreed date). 

If different Products from the same order will be available at different times, Centrufficio s.p.a. will propose to the buyer to split up the order. In the case of split delivery, delivery costs will be applied to each portion of the order. If the customer refuses a split delivery, delivery will be scheduled when all the Products of the order will be available. 

4.2 COMPLAINTS

Upon receiving the purchased items, the buyer must perform all the necessary inspections to detect any damage, missing packages, defects or other faults or non-compliance of the Products delivered with the order. In particular, the buyer must check the condition of the packaging, the number of packages and the Products in terms of quantity, codes, state and characteristics.

In case of damaged or missing items, the buyer must indicate on the delivery note the precise and justified reasons, as general reasons such as "subject to verifications" are insufficient.

The buyer must send a copy of this complaint to Centrufficio s.p.a. within three days from the delivery.

Furthermore, the buyer must be able to prove the truthfulness of the claims, while Centrufficio s.p.a., its carriers or any other person appointed by them must have the opportunity to verify the claims. Therefore, the buyer mustn't intervene or ask a third party to intervene for this purpose.

If the claim is accepted, the damaged or non-compliant Product will be replaced or reimbursed in case the Product is out of stock in our warehouse or in our suppliers'. The returned Product must be delivered to the couriers in perfect conditions in its original packaging, along with all its accessories. Any goods returned spontaneously will not be accepted without the prior agreement of Centrufficio s.p.a.

Any defects, faults or non-compliances not reported at the time of delivery cannot be taken into consideration.

5 - PRODUCT WARRANTY

The furniture and furnishing accessories have a 24 months product warranty from the delivery date regarding manufacturing, material or design defects. During the warranty period, Centrufficio s.p.a., at its discretion, commits to replace or refund the Products that it has acknowledged as defective. The replaced Products are covered by a warranty for the remaining time. The warranty does not include:

- damage to the Product resulting from normal wear and tear with reference to the item's nature, function, composition and price;
- any Product defects that may result from: incorrect installation, storage or assembly (if carried out directly by the buyer); incorrect maintenance, misuse or use not compliant with the technical specifications or instructions; modifications or repairs carried out by the buyer or by a third party; deterioration caused by external objects or events such as accidents, blows, fires, vandalism, pipe leaks, natural or artificial lights (in case of discoloration), natural disasters or bad weather. 

Warranty interventions must be requested by e-mail to: f.mendez@cuf.it The request must include one or more photographs to show the damage and the details of the delivery note or invoice of the item. The fee for interventions under warranty for the customer is € 48.00 ex-tax, as a contribution to shipping costs.

6 – RIGHT OF WITHDRAWAL

Private buyers have a withdrawal period of 14 working days starting from the delivery of the Product, so that they can cancel all or part of the order and return the Product at their own expense. This right does not apply to Products manufactured according to the buyer's specifications, to customized products or to products that cannot be returned or are susceptible to deterioration due to their nature.

Furthermore, this right is not applicable for purchases made with VAT number.

To exercise the right of withdrawal, the buyer must send a request to: ecommerce@centrufficiostore.it, indicating the details of the delivery note or invoice for the goods.  

The buyer is responsible for shipping costs, except in the case of non-conformity of the items.

The buyer will be reimbursed as soon as possible within 30 days from the date the items are returned, after the Products have been checked to make sure they are in perfect conditions.

7 - USE OF THE WEBSITE

7.1 INTELLECTUAL PROPERTY

The elements published on the website www.centrufficiostore.it, including, in particular, the logo, registered trademarks, texts, photographs, images, designs, models or tables, are all protected by intellectual property rights or rights of the individual. Total or partial reproduction or representation of this website is therefore forbidden without the prior and express agreement of the holders of such rights and may constitute an act of counterfeiting sanctioned by the Intellectual Property Code and / or a criminal act that involves the civil liability of the violators of the aforementioned rights.

7.2 USERS RESPONSIBILITY

Users are fully responsible for their use and browsing on www.centrufficiostore.it. Centrufficio s.p.a. cannot be held responsible for damages, errors or computer viruses that could hinder the continuity of access to its site or for malfunctions in the users' computer following an access to the site. Thus, Centrufficio s.p.a. cannot be asked to repair any direct or indirect damage that may be related to the use and access to the site or to the download of elements contained in the site (images, texts, videos).

7.3 DATA PROTECTION ACT (LEGGE "INFORMATICA E LIBERTÀ")

Centrufficio s.p.a. collects the user's personal data necessary to register on the website, to process orders and / or to respond to information requests. 8 - FORCE MAJEURE

None of the Parties will be held responsible for the total or partial non-fulfillment of its obligations, if such non-fulfillment will be due to unforeseen circumstances or to force majeure such as: flood, fire, storm, lack of raw materials, transport strike, partial or total strike, lockout. The Party that therefore has a delay must communicate to the other Party the occurrence of an event of force majeure in the shortest terms, within five (5) working days from the occurrence of such event.

The parties must agree as soon as possible on how to complete the order for the duration of the force majeure.

9 - OTHER

9.1 PARTIAL INVALIDITY

If one or more clauses contained in these General Sales Terms and Conditions is considered invalid or declared as such pursuant to law, regulation, or following a decision by a court of law, the other clauses will continue in full force and effect.

9.2 NON-WAIVER

The fact that one of the Parties has not requested the application of one of the clauses of the present general sales terms and conditions, either permanently or temporarily, in no case shall be considered as a waiver of the rights of such Party derived from the aforementioned clause.

9.3 CHANGES TO THE GENERAL SALES TERMS AND CONDITIONS

Centrufficio s.p.a. reserves the right to modify these general sales terms and conditions. Any new version will be reported on the Site.

The online version on the Website at the time of the buyer's order will prevail over any previous version of the general sales terms and conditions.

9.4 INTEGRITY OF THE CONTRACT

These general sales conditions and the order summary sent to the buyer form a contractual set and constitute the contractual relations between the parties.

10 - APPLICABLE LAW / JURISDICTION / COMPETENT COURT

Centrufficio s.p.a. has adapted its sales regulations to the requirements of the Consumer Code pursuant to D.Lgs 206 of 06/09/2005.

For any dispute about the interpretation, application and execution of this contract, the parties declare that the jurisdiction will belong exclusively to the Italian Judge.

For any dispute about the interpretation, application and execution of this contract, the parties declare that the Court of Milan shall be the competent Court, excluding any other court.

The parties declare that this Contract is governed by Italian law.
